Terms and Conditions

Participation in this Amazon Flex delivery partner Referral Program ("Program") is subject to these Terms and Conditions (these “Program Terms”) and the terms and conditions in your Amazon Flex Independent Contractor Terms of Service (the “Amazon Flex Terms”), which are incorporated herein (collectively, the “Program Terms”).

Please read these Program Terms carefully. By accessing or participating in the Program, you agree to be bound by the Program Terms and all terms incorporated herein by reference, including terms regarding dispute resolution and a class action waiver. If you do not agree to the Program Terms, do not access or participate in the Program.

Referrer Eligibility

An eligible “Referrer” is an Amazon Flex delivery partner who (1) has received an official Program invitation email from Amazon Flex and (2) is an active Amazon Flex delivery partner in good standing, maintaining a status of “Fair,” “Great,” or “Fantastic” at the time of referral. Eligible Referrers may participate in the Program by referring one or more new individuals to Amazon Flex. When you refer the Referee, you represent and warrant to us that you have obtained their prior consent to transmit electronic communication(s) containing the referral link to those individuals. Additional referral limitations and specific Program Terms (including requirements to receive a Referral Incentive, defined below) will be detailed in the official Program invitation email.

Referee Eligibility

A “Referee” means an individual who is referred to Amazon Flex through this Program by a Referrer. To qualify as a Referee, the individual (1) must be a first-time Amazon Flex delivery partner applicant with no previous Amazon Flex account or registration history, and (2) must complete the Amazon Flex registration exclusively through the authorized referral link provided by an eligible Referrer. Additional Program Terms, including the requirements to receive a Referral Incentive (defined below), will be included in the registration landing page and the registration confirmation email.

Referral Incentive Amazon.com e-gift Card

A “Referral Incentive” means an Amazon.com e-gift card issued to qualifying Referrers and Referees. To qualify for the Referral Incentive, the Referee must complete a specific number of delivery blocks within the specified timeframe outlined in the Program invitation email to the Referrer. The Referral Incentive will become available to both the Referee and the associated Referrer via the referral dashboard within seven (7) business days of qualifying criteria completion and must be redeemed through the same referral dashboard. After the Referral Incentive is distributed, both the Referrer and the Referee will receive a confirmation email notifying about the availability of the Amazon.com e-gift Card in the referral dashboard. Amazon Flex reserves the sole discretion to determine the amount of any Referral Incentive that each Referrer or Referee may receive for completing the referral. Amazon Flex shall not be liable for, and you shall not be entitled to receive, any Referral Incentive for Referees referred through improperly formatted referral links. Eligibility for Referral Incentives is limited to the original Referrer who received the program invitation and their directly referred Referee, subject to meeting all applicable eligibility criteria. Redistribution of referral links by parties other than the original Referrer is prohibited, and no Referral Incentives shall be awarded for sign-ups resulting from such redistribution. Amazon reserves the right to revoke the Referral Incentive if Amazon believes, in its sole discretion, that the Program participation was earned through or in connection with any fraud, abuse of the Amazon Flex app, or in violation of these Program Terms.

Referral Period

The referral window will be open for eligible Amazon Flex delivery partners for a limited time period (the “Referral Period”) and will be specified in the email inviting you to participate in the Program. Eligible Amazon Flex delivery partners will not be able to refer after the Referral Period is closed. The Program is offered at Amazon Flex’s discretion. Amazon Flex expressly reserves the right to modify, suspend, or terminate the Program, in whole or in part, at any time without prior notice.

Program Location

This Program is limited to Amazon Flex delivery partners in the United States.

Disclaimer

‍The Program and/or any of its features, including Referral Incentives, may be unavailable, inaccurate, or interrupted from time to time for a variety of reasons outside of our control. We are not responsible for any unavailability, interruptions, or errors of the Program, its features, or any Referral Incentives. The Program and all the information accessible through it are provided for informational purposes only on an “as is” and “as available” basis. Amazon and its affiliated entities and their agents make no warranties, representations, or guarantees of any kind, express or implied, including but not limited to, accuracy, currency, or completeness, the operation of the Program, the information, materials, content, availability, and products. To the fullest extent permitted by applicable law, we disclaim all warranties, express or implied, including but not limited to, implied warranties of merchantability and fitness for a particular purpose.

Limitation of Liability

Except as set forth herein, all disputes arising out of or relating to these Program Terms will be governed in accordance with the Amazon Flex Terms. By participating in the Program or receiving any Referral Incentive, you agree that Amazon, its affiliates and subsidiaries, and its officers, directors, employees, representatives, and agents, including any third party (collectively, the “Released Parties”) will have no liability or responsibility whatsoever for, and shall be held harmless by you for, any liability for any claims, demands, injuries, losses, or damages of any kind (known or unknown, including, without limitation, direct, indirect, incidental, special, consequential, or punitive or exemplary damages) to persons, including personal injury or death, or property arising out of or related to, in whole or in part, directly or indirectly, any action taken or neglected to be taken with regard to the Program, including but not limited to, use of the Program and any Referral Incentives. The Released Parties are not responsible for (a) loss or misdirection of, or delay in receiving, any Referral Incentive; (b) theft or unauthorized use of a Referral Incentive caused by circumstances beyond the reasonable control of Amazon or its representatives or agents; (c) any acts or omissions of third parties; or (d) any errors published in relation to the Program, including, without limitation, any typographical errors, errors of description, and errors in the calculation of completed delivery blocks. Amazon reserves the right to correct, without notice, any errors. In no event shall the Released Parties be liable to you for any delay in or failure to perform due to causes beyond Amazon’s control, including, without limitation, any act of god, and act of war, natural disaster, terrorism, or any act or omission of a third party. The sole remedy available to you in connection with the Program (whether your claim is based in law or equity) shall be the crediting or re-crediting to your earnings in an amount no greater than the cash value of the Referral Incentive. Some jurisdictions may not allow the limitation or exclusion of liability for incidental or consequential damages or exclusion of implied warranties, so some of the above limitations or exclusions may not apply. Check local laws for any restrictions or limitations regarding these limitations or exclusions.

If you are a consumer who resides in California, you hereby waive your rights under California Civil Code § 1542, which provides: “A general release does not extend to claims which the creditor does not know or suspect to exist in his or her favor at the time of executing the release, which if known by him or her must have materially affected his or her settlement with the debtor.”

This Section will survive termination of your participation in the Program.

Indemnification

You agree to indemnify and hold harmless the Released Parties from and against any loss, damage, liability, cost, or expense of any kind (including attorneys’ fees) arising from your or an authorized user’s: use of the Program, any fraud or misuse of the Program, or violation of any applicable law or the rights of any third party. This indemnity is in addition to, and not in lieu of, any other indemnities set forth in a written agreement between you and Amazon. This Section will survive termination of your participation in the Program.

Class Action Waiver

You agree that any dispute arising out of or related to these Program Terms is personal to you and that any dispute will be resolved solely through individual action, and will not be brought as a class arbitration, class action or any other type of representative proceeding. This Section will survive termination of your participation in the Program.

Other Important Information You Should Know

Your participation in the Program may result in federal, state, and local taxes. You are solely responsible for any tax liability, including disclosure requirements, related to participating in the Program and on the Referral Incentives that you receive. Please consult your tax advisor if you have any questions about your personal tax situation.

This Program is void where prohibited by federal, state, or local law.

This Program is governed by federal law, as well as the law of the State of Delaware, without the application of its conflict of laws principles, and will apply no matter where you live or use the Program.

Amazon may enforce these Program Terms at any time. Amazon may also delay enforcement without losing its right to enforce any of the Program Terms at a later time. If any of the Program Terms are found to be unenforceable, Amazon may still enforce the other Programs.

This Section will survive termination of your participation in the Program.
